REFERRAL PROGRAM TERMS AND CONDITIONS

1. Definitions “Sage” means Sage by spiced life conversation, LLC.

“Referrer” means the individual or company that provides referral information to Sage by spiced life conversation. “Sage by spiced life conversation Referral Program” means the program described at https://sagebyspicedlifeconversation.com/contact-us/referrals.

2. The Sage by spiced life conversation Referral Program is valid only for the referral of individuals or companies that have not subscribed to any Sage by spiced life conversation service within a year of the date of this agreement and do not have existing sales orders, quotes, estimates or proposals in progress with Sage by spiced life conversation (“Referral”). Additionally, only original sales orders resulting in new Sage by spiced life conversation service activation shall be eligible for Sage by spiced life conversation Referral Program payment(s). All Referrals must be approved by Sage by spiced life conversation in its sole reasonable discretion.

3. Misuse of the Sage by spiced life conversation Referral Program may result in the disconnection of Sage by spiced life conversation service and the forfeit of any Sage by spiced life conversation Referral Program offer(s).

4. The Sage by spiced life conversation Referral Program is subject to the applicable Sage by spiced life conversation product terms and conditions of service as posted and periodically updated on the Sage by spiced life conversation website at

https://sagebyspicedlifeconversation.com/terms-and-conditions/. All referrals must be submitted through the website at https://www.sagebyspicedlifeconversation.com/general-5

5. The Referrer is an independent contractor. A referrer cannot make representations beyond representations located at http://www.sagebyspicedlifeconversation.com or as expressly authorized or provided by Sage by spiced life conversation.

6. Any Referral that becomes a customer of Sage by spiced life conversation is a customer of Sage by spiced life conversation, not the Referrer, for the services procured from Sage by spiced life conversation and supplied to the customer.

7. Payment for Referrals is made by issuing a check payable to the Referrer. Payment will not occur until the referred customer has activated service and has paid their bill for the first two billing periods. Payment will be forfeited if the referrer’s W-9 is not provided to Sage by spiced life conversation within 60 days of the Referral order date. The total referral payment is $25 per account.

8. DISCLAIMER OF WARRANTIES. THE WARRANTY AND ANY LIMITATIONS ON THE WARRANTY ARE SET FORTH IN SAGE BY SPICED LIFE CONVERSATION’S APPLICABLE TERMS AND CONDITIONS FOR its SERVICE AND PRODUCTS. SAGE BY SPICED LIFE CONVERSATION HEREBY EXPRESSLY DISCLAIMS, RELEASES, AND RENOUNCES ALL OTHER REMEDIES, WARRANTIES, GUARANTEES, OBLIGATIONS, REPRESENTATIONS AND LIABILITIES, EXPRESS OR IMPLIED, ARISING IN FACT, LAW, EQUITY, CONTRACT, TORT, UNDER STATUTE, UNDER WARRANTY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: (A) ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, (B) ANY IMPLIED WARRANTY OR CONDITION ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OR TRADE, (C) ANY OBLIGATION, LIABILITY RIGHT, CLAIM OR REMEDY IN TORT, WHETHER OR NOT ARISING FROM ACTIVE, PASSIVE OR IMPUTED NEGLIGENCE, CONTRIBUTORY NEGLIGENCE, VICARIOUS LIABILITY OR STRICT PRODUCTS LIABILITY OF SAGE BY SPICED LIFE CONVERSATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES, AND (D) ANY OBLIGATION, LIABILITY OR RESPONSIBILITY FOR LOSS OF SERVICE OR DAMAGE TO ANY EQUIPMENT OR PART THEREOF, OR ANY SERVICE DELIVERED OR PROVIDED TO CUSTOMERS.

9. DISCLAIMER OF CERTAIN DAMAGES. IN NO EVENT WILL SAGE BY SPICED LIFE CONVERSATION OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, VENDORS, AND CONTRACTORS BE LIABLE FOR THE COST OF COVER OR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, AGGRAVATED, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES OR LIABILITIES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO LOSS OF DATA, INFORMATION, REVENUE, PROFIT OR BUSINESS) ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICE OR OTHERWISE, WHETHER ARISING IN FACT, LAW, EQUITY, CONTRACT, TORT (INCLUDING NEGLIGENCE AS DESCRIBED ABOVE), STRICT LIABILITY, UNDER STATUTE, UNDER WARRANTY OR OTHER THEORY EVEN IF SAGE BY SPICED LIFE CONVERSATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

REFERRER EXPRESSLY ACKNOWLEDGES THAT IT IS SUBJECT TO SUCH WARRANTY, WARRANTY LIMITATIONS, AND DISCLAIMERS OF CERTAIN DAMAGES AS IF THE REFERRER WERE A CUSTOMER OF SAGE BY SPICED LIFE CONVERSATION.

10. These terms and conditions and the Sage by spiced life conversation Referral Program are governed by and construed under the laws of the State of Georgia without regard to any conflict of law principles to the contrary. The parties irrevocably submit to the jurisdiction of the state and federal courts located in Conyers, Georgia with respect to any dispute under these terms and conditions or relating to the Sage by spiced life conversation Referral Program.

Please sign and return your agreement to these Sage by spiced life conversation Referral Program terms and conditions and a completed W-9 to Sage by spiced life conversation, LLC, 2890 Georgia Hwy 212 A-247 Conyers, Ga 30094 (or email at spicedlifeconversation@yahoo.com). This agreement becomes effective upon Sage by spiced life conversation’s receipt and acceptance of the signed agreement.

BY USING SAGE BY SPICED LIFE CONVERSATION ONLINE SERVICE, YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS (THE “AGREEMENT”) GOVERNING YOUR USE OF SAGE BY SPICED LIFE CONVERSATION ONLINE SERVICE, INCLUDING OFFLINE COMPONENTS (COLLECTIVELY, THE “SERVICE”). IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST SELECT THE “I DECLINE” BUTTON AND MAY NOT USE THE SERVICE.

WELCOME

As part of the SERVICE, Sage by spiced life conversation will provide you with the use of the SERVICE, including a browser interface and data encryption, transmission, access, and storage. Your registration for, or use of, the SERVICE shall be deemed to be your promise and assurance to abide by this AGREEMENT including any materials available on the sagebyspicedlifeconversation.com website incorporated by reference herein, including but not limited to Sage by spiced life conversation’s privacy and security policies. For reference, a Definitions section is included at the end of this AGREEMENT.

LICENSE GRANT & RESTRICTIONS

Sage by spiced life conversation hereby grants you a non-exclusive, non-transferable, worldwide right to use the SERVICE, solely for your own internal business purposes, subject to the terms and conditions of this AGREEMENT. All rights not expressly granted to you are reserved by Sage by spiced life conversation and its licensors.

You may not access the SERVICE if you are a direct competitor of Sage by spiced life conversation, except with Sage by spiced life conversation’s prior written consent. In addition, you may not access the SERVICE for purposes of monitoring its availability, performance, or functionality, or for any other benchmarking or competitive purposes.

You shall not (i) license, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the SERVICE or the Content in any way; (ii) modify or make derivative works based upon the SERVICE or the Content; (iii) create Internet “links” to the SERVICE or “frame” or “mirror” any Content on any other server or wireless or Internet-based device; or (iv) reverse engineer or access the SERVICE in order to (a) build a competitive product or SERVICE, (b) build a product using similar ideas, features, functions or graphics of the SERVICE, or (c) copy any ideas, features, functions or graphics of the SERVICE. User licenses cannot be shared or used by more than one individual User but may be reassigned from time to time to new Users who are replacing former Users who have terminated employment or otherwise changed job status or function and no longer use the SERVICE.

You may use the SERVICE only for your individual personal use only and shall not: (i) send spam or otherwise duplicative or unsolicited messages in violation of applicable laws; (ii) send or store infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including material harmful to children or violative of third party privacy rights; (iii) send or store material containing software viruses, worms, Trojan horses or other harmful computer code, files, scripts, agents or programs; (iv) interfere with or disrupt the integrity or performance of the SERVICE or the data contained therein; or (v) attempt to gain unauthorized access to the SERVICE or its related systems or networks.

YOUR RESPONSIBILITIES

You are responsible for all activity occurring under your User accounts and shall abide by all applicable local, state, national, and foreign laws, treaties, and regulations in connection with your use of the SERVICE, including those related to data privacy, international communications, and the transmission of technical or personal data. You shall: (i) notify Sage by spiced life conversation immediately of any unauthorized use of any password or account or any other known or suspected breach of security; (ii) report to Sage by spiced life conversation immediately and use reasonable efforts to stop immediately any copying or distribution of Content that is known or suspected by you or your Users, and (iii) not impersonate another Sage by spiced life conversation user or provide false identity information to gain access to or use the SERVICE.

ACCOUNT INFORMATION AND DATA

Sage by spiced life conversation does not own any data, information, or material that you submit to the SERVICE in the course of using the SERVICE (“Customer Data”). You, not Sage by spiced life conversation, shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all Customer Data, and Sage by spiced life conversation shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store any Customer Data. In the event this AGREEMENT is terminated (other than by reason of your breach), Sage by spiced life conversation will make available to you a file of the Customer Data within 30 days of termination if you request it in writing at the time of termination. Sage by spiced life conversation reserves the right to withhold, remove and/or discard Customer Data without notice for any breach, including, without limitation, your non-payment. Upon termination for cause, your right to access or use Customer Data immediately ceases, and Sage by spiced life conversation shall have no obligation to maintain or forward any Customer Data.

INTELLECTUAL PROPERTY OWNERSHIP

Sage by spiced life conversation alone (and its licensors, where applicable) shall own all rights, title, and interest, including all related Intellectual Property Rights, in and to the Sage by spiced life conversation Technology, the Content and the SERVICE and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the SERVICE. This AGREEMENT is not a sale and does not convey to you any rights of ownership in or related to the SERVICE, the Sage by spiced life conversation Technology, or the Intellectual Property Rights owned by Sage by spiced life conversation. The Sage by spiced life conversation name, the Sage by spiced life conversation logo, and the product names associated with the SERVICE are trademarks of Sage by spiced life conversation or third parties, and no right or license is granted to use them.

CHARGES AND PAYMENT OF FEES

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Payments must be made in advance unless otherwise mutually agreed upon. All payment obligations are non-cancelable and all amounts paid are nonrefundable. You must provide Sage by spiced life conversation with a valid credit card as a condition to signing up for the SERVICE. Sage by spiced life conversation reserves the right to modify its fees and charges and to introduce new charges at any time, upon at least 30 days prior notice to you, which notice may be provided by e-mail. All pricing terms are confidential, and you agree not to disclose them to any third party.

BILLING AND RENEWAL

Sage by spiced life conversation charges and collects in advance for use of the SERVICE. Sage by spiced life conversation will automatically renew and bill your credit card on the subsequent anniversary date of your account or as otherwise mutually agreed upon. The renewal charge will be equal to the payment period licensing rate in effect during the prior term unless Sage by spiced life conversation has given you at least 30 days prior written notice of a fee increase, which shall be effective upon renewal and thereafter. Fees for other services will be charged on an as-quoted basis. Sage by spiced life conversation’s fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

You agree to provide Sage by spiced life conversation with complete and accurate billing and contact information. This information includes your legal company name, street address, e-mail address, and name and telephone number of an authorized billing contact and License Administrator. You agree to update this information within 30 days of any change to it. If the contact information you have provided is false or fraudulent, Sage by spiced life conversation reserves the right to terminate your access to the SERVICE in addition to any other legal remedies.
Unless Sage by spiced life conversation in its discretion determines otherwise: entities will be billed in U.S. dollars and be subject to U.S. payment terms and pricing schemes.

If you believe your bill is incorrect, you must contact us in writing within 60 days of the invoice date of the invoice containing the amount in question to be eligible to receive an adjustment or credit.

NON-PAYMENT AND SUSPENSION

In addition to any other rights granted to Sage by spiced life conversation herein, Sage by spiced life conversation reserves the right to suspend or terminate this AGREEMENT and your access to the SERVICE if your account becomes delinquent (falls into arrears). Delinquent invoices (accounts in arrears) are subject to interest of 1.0% per month on any outstanding balance, or the maximum permitted by law, whichever is less, plus all expenses of collection. You will continue to be charged for continued licensing during any period of suspension. If you or Sage by spiced life conversation initiate termination of this AGREEMENT, you will be obligated to pay the balance due on your account computed in accordance with the Charges and Payment of Fees section above. You agree that Sage by spiced life conversation may charge such unpaid fees to your credit card or otherwise bill you for such unpaid fees.

Sage by spiced life conversation reserves the right to impose a reconnection fee in the event you are suspended and thereafter request access to the SERVICE. You agree and acknowledge that Sage by spiced life conversation has no obligation to retain Customer Data and that such Customer Data may be irretrievably deleted if your account is 30 days or more delinquent.

TERMINATION UPON EXPIRATION/REDUCTION IN THE NUMBER OF LICENSES

This AGREEMENT commences on the Effective Date. The term is indefinite and may be terminated at any time in Sage by spiced life conversation’s sole discretion unless a time frame has been mutually agreed upon in an order form. Upon the expiration of the Initial Term, this AGREEMENT will automatically renew for successive renewal terms equal in duration to the Initial Term (or one year, if the Initial Term is greater than one year) at Sage by spiced life conversation’s then current fees. Either party may terminate this AGREEMENT or reduce the licensing, effective only upon the expiration of the then-current License Term, by notifying the other party in writing at least thirty (30) days prior to the date of the expiration of the then-current License Term. In the event this AGREEMENT is terminated (other than by reason of your breach), Sage by spiced life conversation will make available to you a file of the Customer Data within 30 days of termination if you request it in writing at the time of termination. You agree and acknowledge that Sage by spiced life conversation has no obligation to retain the Customer Data, and may delete such Customer Data, more than 30 days after termination.

TERMINATION FOR CAUSE

Any breach of your payment obligations or unauthorized use of the Sage by spiced life conversation Technology or SERVICE will be deemed a material breach of this AGREEMENT. Sage by spiced life conversation, in its sole discretion, may terminate your password, account, or use of the SERVICE if you breach or otherwise fail to comply with this AGREEMENT. In addition, Sage by spiced life conversation may terminate a free account at any time in its sole discretion. You agree and acknowledge that Sage by spiced life conversation has no obligation to retain the Customer Data, and may delete such Customer Data if you have materially breached this AGREEMENT, including but not limited to failure to pay outstanding fees, and such breach has not been cured within 30 days of notice of such breach.

REPRESENTATIONS & WARRANTIES

Each party represents and warrants that it has the legal power and authority to enter into this AGREEMENT. Sage by spiced life conversation represents and warrants that it will provide the SERVICE in a manner consistent with general industry standards reasonably applicable to the provision thereof and that the SERVICE will perform substantially in accordance with the Sage by spiced life conversation documentation under normal use and circumstances. You represent and warrant that you have not falsely identified yourself nor provided any false information to gain access to the SERVICE and that your billing information is correct.

MUTUAL INDEMNIFICATION

You shall indemnify and hold Sage by spiced life conversation, its licensors and each such party’s parent organizations, subsidiaries, affiliates, officers, directors, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with: (i) a claim alleging that use of the Customer Data infringes the rights of, or has caused harm to, a third party; (ii) a claim, which if true, would constitute a violation by you of your representations and warranties; or (iii) a claim arising from the breach by you or your Users of this AGREEMENT, provided in any such case that Sage by spiced life conversation (a) gives written notice of the claim promptly to you; (b) gives you sole control of the defense and settlement of the claim (provided that you may not settle or defend any claim unless you unconditionally release Sage by spiced life conversation of all liability and such settlement does not affect Sage by spiced life conversation’s business or SERVICE); (c) provides to you all available information and assistance; and (d) has not compromised or settled such claim.

Sage by spiced life conversation shall indemnify and hold you and your parent organizations, subsidiaries, affiliates, officers, directors, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs) arising out of or in connection with: (i) a claim alleging that the SERVICE directly infringes a copyright, a U.S. patent issued as of the Effective Date, or a trademark of a third party; (ii) a claim, which if true, would constitute a violation by Sage by spiced life conversation of its representations or warranties; or (iii) a claim arising from breach of this AGREEMENT by Sage by spiced life conversation; provided that you (a) promptly give written notice of the claim to Sage by spiced life conversation; (b) give Sage by spiced life conversation sole control of the defense and settlement of the claim (provided that Sage by spiced life conversation may not settle or defend any claim unless it unconditionally releases you of all liability); (c) provide to Sage by spiced life conversation all available information and assistance; and (d) have not compromised or settled such claim. Sage by spiced life conversation shall have no indemnification obligation, and you shall indemnify Sage by spiced life conversation pursuant to this AGREEMENT, for claims arising from any infringement arising from the combination of the SERVICE with any of your products, services, and hardware or business process.

DISCLAIMER OF WARRANTIES

SAGE BY SPICED LIFE CONVERSATION AND ITS LICENSORS MAKE NO REPRESENTATION, WARRANTY, OR GUARANTEE AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY, OR COMPLETENESS OF THE SERVICE OR ANY CONTENT. SAGE BY SPICED LIFE CONVERSATION AND ITS LICENSORS DO NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE SERVICE WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, (B) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY STORED DATA WILL BE ACCURATE OR RELIABLE, (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (E) ERRORS OR DEFECTS WILL BE CORRECTED, OR (F) THE SERVICE OR THE SERVER(S) THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE SERVICE AND ALL CONTENT ARE PROVIDED TO YOU STRICTLY ON AN “AS IS” BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY SAGE BY SPICED LIFE CONVERSATION AND ITS LICENSORS.

INTERNET DELAYS

SAGE BY SPICED LIFE CONVERSATION’S SERVICES MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. SAGE BY SPICED LIFE CONVERSATION IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.

LIMITATION OF LIABILITY

IN NO EVENT SHALL EITHER PARTY’S AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY AND/OR DUE FROM YOU IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. IN NO EVENT SHALL EITHER PARTY AND/OR ITS LICENSORS BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, — USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THIS SERVICE, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE THE SERVICE, OR FOR ANY CONTENT OBTAINED FROM OR THROUGH THE SERVICE, ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, REGARDLESS OF CAUSE IN THE CONTENT, EVEN IF THE PARTY FROM WHICH DAMAGES ARE BEING SOUGHT OR SUCH PARTY’S LICENSORS HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Time and Labor Disclaimer

Sage by spiced life conversation SERVICES is being provided for your time and labor needs. Functionality, data, documents or other information contained using SERVICES are not to be construed in any way as legal or financial advice. The retention and representation of competent professionals should be sought in the event you have any needs, issues, or problems with these areas to address your situation.

Sage by spiced life conversation SERVICES is not responsible for the accuracy of any content including but not limited to data, documents, forms, instructions, manuals, links to websites, or other information or functionality provided by an entity other than Sage by spiced life conversation or that has been modified by an entity other than Sage by spiced life conversation (collectively “Outside Content”). Sage by spiced life conversation shall not be liable, in law or in equity, for any Outside Content in the use of SERVICES.

Location Based Services

Sage by spiced life conversation provides optional GPS location tracking, allowing the determination of users’ locations at the time of clock in, clock out, and if the Customer so chooses, detailed tracking for the duration of time users is clocked in. End-user permission is always required and obtained before performing any location tracking. Sage by spiced life conversation offers location services on the mobile app. The device operating system enforces compliance and asks the user for permission before allowing location tracking; the user has the ability to deny this request at any point in time. Location data will be stored in our database for the duration the users’ time cards are on file. If the Customer cancels their account, the data will then be purged from our servers.

Sage by spiced life conversation shall not be liable for the actions of any outside entity including you the User in implementing the payroll rules or the User’s compliance with any legal and regulatory requirements under federal, state, and local laws, regulations, and guidelines.

ADDITIONAL RIGHTS

Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental, consequential, or certain other types of damages, so the exclusions set forth above may not apply to you.

Consumption rates and other data used in SERVICES are best efforts for illustration. Consumption rates and cost estimates are subject to many variables unique to each User. It is highly recommended you verify all estimates against actual consumption data. Consumption rates and calculations are the sole responsibility of the USER, who should verify the accuracy of all information being used. Sage by spiced life conversation assumes no responsibility for the accuracy of User calculations or projections and makes no representations as to the ability to accurately estimate product consumption using SERVICES, and therefore shall not be liable for errors, omissions, or results obtained.

Work loading, time study rates, and other data in SERVICE are best efforts for illustration. Work loading, time study rates, and resulting financial and numerical suggestions are subject to many variables unique to each User. It is highly recommended you verify all estimates against actual data. Work loading rates, time study rates, and calculations are the sole responsibility of the USER, who should verify the accuracy of all information being used. ISSA and Sage by spiced life conversation assume no responsibility for the accuracy of User calculations or projections and make no representations as to the ability to accurately estimate consumption using SERVICES, and therefore shall not be liable for errors, omissions, nor results obtained.

LOCAL LAWS AND EXPORT CONTROL

This site provides services and uses software and technology that may be subject to United States export controls administered by the U.S. Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, and other U.S. agencies. If you use the SERVICE from outside the United States of America you are solely responsible for compliance with all applicable laws, including without limitation export and import regulations of other countries. Any diversion of the Content contrary to United States law is prohibited. None of the Content, nor any information acquired through the use of the SERVICE, is or will be used for nuclear activities, chemical or biological weapons, or missile projects unless specifically authorized by the United States government or appropriate body for such purposes.

NOTICE

Sage by spiced life conversation may give notice by means of a general notice on the SERVICE; electronic mail to your e-mail address on record in Sage by spiced life conversation’s account information, or by written communication sent by first class mail or pre-paid post to your address on record in Sage by spiced life conversation’s account information. Such notice shall be deemed to have been given upon the expiration of 48 hours after mailing or posting (if sent by first class mail or pre-paid post) or 12 hours after sending (if sent by email). You may give notice to Sage by spiced life conversation (such notice shall be deemed given when received by Sage by spiced life conversation) at any time by any of the following: a letter delivered by a nationally recognized overnight delivery company or first-class postage prepaid mail to Sage by spiced life conversation at the following address: Sage by spiced life conversation, 2890 Georgia Hwy 212 A-247 Conyers, Ga 30094 addressed to the attention of Managing Director.

MODIFICATION TO TERMS

Sage by spiced life conversation reserves the right to modify the terms and conditions of this AGREEMENT or its policies relating to the SERVICE at any time, effective upon posting of an updated version of this AGREEMENT on the SERVICE. You are responsible for regularly reviewing this AGREEMENT. Continued use of the SERVICE after any such changes shall constitute your consent to such changes. We may also notify you at the time of signing into the application that the terms have changed.

ASSIGNMENT – CHANGE IN CONTROL

This AGREEMENT may not be assigned by you without the prior written approval of Sage by spiced life conversation but may be assigned without your consent by Sage by spiced life conversation to (i) a parent or subsidiary, (ii) an acquirer of assets, or (iii) a successor by merger. Any purported assignment in violation of this section shall be void. Any actual or proposed change in control of you that results or would result in a direct competitor of J Sage by spiced life conversation directly or indirectly owning or controlling 50% or more of you shall entitle Sage by spiced life conversation to terminate this AGREEMENT for cause immediately upon written notice.

GENERAL

With respect to U.S. Customers, this AGREEMENT shall be governed by Georgia law and controlling United States federal law, without regard to the choice or conflicts of law provisions of any jurisdiction, and any disputes, actions, claims, or causes of action arising out of or in connection with this AGREEMENT or the SERVICE shall be subject to the exclusive jurisdiction of the state and federal courts located in Conyers, Georgia. With respect to Non-U.S. Customers, this AGREEMENT shall be governed by the laws of the United States, without regard to the choice or conflicts of law provisions of any jurisdiction, and any disputes, actions, claims, or causes of action arising out of or in connection with this AGREEMENT or the SERVICE shall be subject to the exclusive jurisdiction of the courts of the United States. Unless otherwise provided by Sage by spiced life conversation at its discretion. No text or information set forth on any other purchase order, preprinted form, or document (other than an Order Form, if applicable) shall add to or vary the terms and conditions of this AGREEMENT. If any provision of this AGREEMENT is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the invalid or unenforceable provision(s), with all other provisions remaining in full force and effect. No joint venture, partnership, employment, or agency relationship exists between you and Sage by spiced life conversation as a result of this AGREEMENT or use of the SERVICE. The failure of Sage by spiced life conversation to enforce any right or provision in this AGREEMENT shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Sage by spiced life conversation in writing. This AGREEMENT, together with any applicable Order Form, comprises the entire AGREEMENT between you and Sage by spiced life conversation and supersedes all prior or contemporaneous negotiations, discussions, understandings, or agreements, whether written or oral, between the parties regarding the subject matter contained herein.

DEFINITIONS

As used in this AGREEMENT and in any Order Forms now or hereafter associated herewith: “AGREEMENT” means these online terms of use, any Order Forms, whether written or submitted online, and any materials available on the Sage by spiced life conversation website specifically incorporated by reference herein, as such materials, including the terms of this AGREEMENT, may be updated by Sage by spiced life conversation from time to time in its sole discretion; “Content” means the audio and visual information, documents, software, products and services contained or made available to you in the course of using the SERVICE; “Customer Data” means any data, information or material provided or submitted by you to the SERVICE in the course of using the SERVICE; “Effective Date” means the earlier of either the date this AGREEMENT is accepted or the date you begin using the SERVICE; “Initial Term” means the initial period during which you are obligated to pay for the SERVICE equal to the billing frequency selected by you during the subscription process (e.g., if the billing frequency is quarterly, the Initial Term is the first quarter); “Intellectual Property Rights” means unpatented inventions, patent applications, patents, design rights, copyrights, trademarks, service marks, trade names, domain name rights, mask work rights, know-how and other trade secret rights, and all other intellectual property rights, derivatives thereof, and forms of protection of a similar nature anywhere in the world; “License Administrator(s)” means those Users designated by you who are authorized to purchase licenses online using the Online Support or by executing written Order Forms and to create User accounts and otherwise administer your use of the SERVICE; “License Term(s)” means the period(s) during which a specified number of Users are licensed to use the SERVICE pursuant to the Order Form(s); “Order Form(s)” means the form evidencing the initial subscription for the SERVICE and any subsequent order forms submitted online or in written form, specifying, among other things, the number of licenses and other services contracted for, the applicable fees, the billing period, and other charges as agreed to between the parties, each such Order Form to be incorporated into and to become a part of this AGREEMENT (in the event of any conflict between the terms of this AGREEMENT and the terms of any such Order Form, the terms of this AGREEMENT shall prevail); “Online Support” means Sage by spiced life conversation’s online application that allows the License Administrator(s) designated by you to, among other things, add additional Users to the SERVICE; ” Sage by spiced life conversation” means Double A Solutions LLC, an Ohio LLC, having its principal place of business at 3139 Republic Blvd., Toledo, OH 43615; ” Sage by spiced life conversation Technology” means all of Sage by spiced life conversation’s proprietary technology (including software, hardware, products, processes, algorithms, user interfaces, know-how, techniques, designs and other tangible or intangible technical material or information) made available to you by Sage by spiced life conversation in providing the SERVICE; “SERVICE(s)” means the specific edition of Sage by spiced life conversation’s online customer relationship management, billing, data analysis, or other services identified during the ordering process, developed, operated, and maintained by Sage by spiced life conversation, is accessible via http://www.sagebyspicedlifeconversation.com or another designated web site or IP address, or ancillary online or offline products and services provided to you by Sage by spiced life conversation, to which you are being granted access under this AGREEMENT, including the Sage by spiced life conversation Technology and the Content; “User(s)” means your employees, representatives, consultants, contractors or agents who are authorized to use the SERVICE and have been supplied user identifications and passwords by you (or by Sage by spiced life conversation at your request).

By using our service, you agree to comply to be bound by these terms & conditions if you do not agree to these terms & conditions, do not book service with us.

Booking Confirmation
Booking service online or during a walkthrough doesn’t guarantee you a spot for that date/time, you will be contacted by email or phone with a confirmation. In order to reserve your cleaning date and time, a deposit of $70 will be applied. This fee is NON-REFUNDABLE but deductible to the total cleaning price.

Cleaning Crew

We always work with teams of two, occasionally more cleaners may be needed due to the complexity of work or busy schedule, we do our best to limit the rotation of cleaners in your office, home listing, or apartment while still providing sufficient cross-training

to our cleaning technicians.

Our employees have been rigorously background screened & drug tested prior to working with us, you can rest assured all our staff has integrity and is held accountable.

Right to Refuse Service

We reserve the right to deny &/or terminate service because of safety concerns, inappropriate or uncomfortable situations, weapons on-premises, severe clutter & disconnected utilities.

Our employees have the choice to leave if the property is in an extremely unsanitary condition or if they feel unsafe/threatened. If you book a cleaning that is unreasonable, the cleaners may refuse service on the spot & you will be charged the cancellation fee.

Cleaning Day Preparation

Your price for cleaning is based on the cleaners focusing all of their time on cleaning, we ask that you give us the keys, codes, and gate entrance code to allow the cleaners easy access to the property to be cleaned. If you’d like our cleaners to do extra tasks for you, call the office in advance so your cleaning fee can be adjusted for the additional time.

Pets

Many offices today have pets. We will gladly work around pets, but we ask that indoor activity is limited for cleaning efficiency & safety reasons, if your pet becomes anxious or presents a safety concern, Sage Cleaning Service reserves the right to remove its employees from your property.

Our employees are instructed not to enter a business if they believe an animal is a threat, pets may behave differently if an owner or staff member is not present. Most of our cleaning is done after business hours we ask that pets be locked up if they remain on the premises. If the removal of our cleaning technician is due to aggressive pets, our cancellation policy will apply.

Service Fees

Please remember we give these instant prices based on years of experience, but we may adjust the price based on the actual condition of the property. To ensure there are no surprises when we arrive & find that the job will require extra time we’ll call you to let you know if we are unable to reach you, the crew will have to leave & you will be charged the cancellation fee.

We reserve the right to reevaluate rates at any time based on the time it takes to perform our service to meet the client’s standards, Sage cleaning will contact the client to discuss price or service revisions if the cleaning time differs drastically from the original bid.

Payments

In order to reserve your cleaning date and time, a deposit of $70 will be applied. Payments must be made on the day of cleaning by check, cash, or credit card.

Refund Policy

We do not offer refunds, we have built our business providing our clients with the best possible service available, still, we realize that we are human, and things will from time to time get missed, should this happen email or call us within 24 hours & we will rectify the error at no charge.

Recurring Service Discount

Recurring discounts start AFTER the first cleaning service, if you skip cleanings so that your cleaning’s frequency is lower than what you were set up for, your price will be increased to the pricing level for the lower frequency.

Rate Increases

Client’s cleaning rate adjustments may be made at any time during the year should there be changes to the frequency of the client’s established service schedule or property or business situation: remodel, change of address, number of rooms added to the property, a significant addition of furniture, etc. 

The customer rate shall be increased annually, by an amount not to exceed 8% of the client’s current rate.

Lockouts

The client shall make the service location accessible to Sage Cleaning Service personnel on the scheduled service day. If the team is locked out of the Client’s property, every effort will be made to establish contact with the Client to arrange for entry into the building, if contact is not made within 20 minutes of the arrival of the cleaning team, the scheduled cleaning will be skipped & you will be charged $70 late cancellation fee, this fee is necessary to compensate the employees for unexpected lost revenue & time

travel, to avoid the fee provide us with a key or code to gain entry to your property.

Rescheduling & Cancellations

Service reliability is extremely important because we reserve a time, especially for you, we request that you give us a minimum of 48 Hrs. advance notice if you need to cancel or reschedule for any reason to avoid incurring a $70 cancellation fee.

Alarm

If your property is equipped with a security system, please ensure that it is in the off position or call our office with the code & proper directions for use. If the code should change please let us know so you do not incur a lockout charge.

Use of Business Vacuum

If you request to use your vacuum, we will not assume or accept any liability for damage to the unit. Since we are not responsible for the maintenance of the vacuum, we will not be responsible for any repairs to it. This is important because if the vacuum is not in working order when we arrive to clean your property, we will not be able to perform any vacuuming of carpet & hard floor surfaces.

Cleaning Supplies

We provide the equipment & products needed to thoroughly clean your property, if you require us to use green cleaning products only, please let us know before we start the service.
If you require to use your cleaning supplies, note that we are not responsible for any damage associated with those products. When this request is made we ask that you have the cleaning chemicals & supplies ready so we can perform our cleaning service as efficiently as possible.

Items We Cannot Clean

Mold removal is a specialty, we cannot be liable for any mold-related risks on clients’ property. We cannot clean hoarding homes, spaces, or areas containing any animal's & human's body fluids, blood, feces, vomit, cat litter boxes, bird cages & urine, or excretions.

Unreachable Areas & Heavy items

For safety & liability reasons our employees can’t climb higher than a step stool or work outside of your home. Cleaners can’t move objects more than 35 pounds, if you would like cleaning behind heavy objects, please move prior to cleaning.

Breakage/Damage & Loss Policy

While an occurrence is rare, the possibility of breakage or damage is present while we clean. Our cleaners exercise reasonable care when cleaning your property, we carry insurance for damage or breakage caused by our cleaners.

We are not liable for damage that is caused by normal wear & tear, improper installation of an item in your home, artwork, collectibles, or family heirlooms not disclosed during the booking process, these items include but are not limited to the following

• Artwork, Collectibles & Family Heirlooms: These items are expensive & impossible to replace, the client should point out such items to us before starting service, please advise us how you would like your fragile items handled & their care.

Notification must be made within 24 hours of breakage/loss of any personal items. Identical replacement is always attempted but not guaranteed.

Cleaners Arrival Window

We schedule our cleanings in an order that requires the least amount of drive time in an effort to maintain low prices & avoid trip fees, if you require a specific time we will make every effort to accommodate your request, however, no times are guaranteed. Due to the unpredictable nature of our business & unforeseen circumstances traffic jams, weather, and mechanical problems, allow us the flexibility of scheduling our cleaning between 8:00 am & 4:00 pm for apartment and home listing cleaning. 5:00 pm -10:00 pm for all office, bank, businesses, and commercial building cleaning.

We generally do not run more than 30 minutes earlier nor more than 45 minutes later than the scheduled appointment time, if we are running late we will call you and/or text you.

Holidays

Sage Cleaning Service does not do holiday visits.

If your scheduled day falls on a holiday, we will contact you to reschedule, the following holidays will be observed:

New Year Eve

Inclement Weather

We will be closed for business when weather conditions prevent Rockdale, Walton, Newton, Clarke, Morgan, and Putnam County School Districts from opening.

Key Release

Client keys are coded & stored inside a locked cabinet to which only the managers of Sage Cleaning Service have access.
In the event the client chooses to leave a door unlocked or place a key under a mat or any other unsecured place for the cleaners to gain entry into the property, Sage Cleaning Service will not be held liable for any damages or theft to the client's property.
Upon termination/cancellation of services, Sage Cleaning Service shall return any client key(s) in its possession no later than 48 hours after termination of services or the next business day.

Non-Solicitation of Sage Cleaning Service

Employees and Contractors

As our customer, we ask that you agree not to solicit for hire any of our cleaning employees or contractors to work directly for you. Our professional cleaners are background checked, their references verified & have completed comprehensive cleaning training. Significant time, resources & money are invested in each new employee before we allow them to enter our customer’s homes.

Governing Law

Any claim relating to Sage Cleaning Service agreements and website shall be governed by the laws of the State of Washington without regard to its conflict of law provisions.

We have taken every effort to design our website to be useful, informative, helpful & honest, hopefully, we have accomplished that & would ask that you let us know if you would like to see improvements or changes that would make it even easier for you to find the information you need.
